迪拜酋长谢赫·穆罕默德颁布了2021年第（3）号法令，阐明了股份公司在迪拜证券交易所上市的规则。

根据该法令，在遵守现行联邦法规的前提下，在迪拜成立的所有公共股份公司，包括在经济特区或自由区设立的公司，都应在迪拜上市。

在遵守迪拜上市要求和法规之后，获得许可的私人股份公司可以在当地股票市场公开发行股票，在本地市场上市的公司也可以在其他市场上进行二次上市。

根据当地证券交易所的规章制度，在迪拜以外地区设有分支机构，资产和活动在国外并获得许可的外国公司，可以将其股票在当地主要/次级市场上市。

外国公司

根据该法令，非本地公司的年度利润占收入总额的50％及以上，或者其在迪拜拥有的股份达到或超过50％时，在当地市场上市的股票占其全部资产的50％或更多，上市应在达到该百分比之日起一年内完成。

利润或资产未达到要求百分比的非本地公司也可以在当地市场上市，但要遵守法规，外国公司还可以通过一次或二次上市的形式在本地股票市场上融资。

该法令还明确规定了许可机构的责任，包括迪拜经济局，特别经济区或自由区和地方证券交易所等，他们的职责是监视本地和非本地公司对本法令的遵守情况，然后对违规者采取行动，包括取消许可证，直到进行整改以符合本法令的要求为止。

受新法令约束的所有公司应在该法令发布后一年进行调整，许可证颁发机构可以根据需要将截止日期延长相同的期限，该法令在官方公报上公布之日起生效。
